Board of Governance

The General Body
The General Body of UDDIPAN that comprising of 21(twenty one) members is the supreme policy maker of the organization. The members are enrolled having commitment in the field of development. The General Body meets in the Annual General Meeting (AGM) once a year to transact business like approval of annual work plan, budget & audit report, selection of auditor, election of Executive Board etc. as provided in the Memorandum of Association.

The Executive Board
The Executive Board provides leadership & guidance to the management. The General Body through AGM elects the Executive Board for a term of two years. The Board comprises of 7 (seven) members and meets at least four times a year or more as deems necessary. The board takes required mangment decision and advises the Executive Director in implementation of the programs and activities of the organization, managing its affairs and also to safeguard the interests of stakeholders.

The Executive Director (CEO)
The Executive Director as the Chief Executive of the organization has the responsibility to plan, manage, implement and monitor the organizational activities and programs. He has to manage fund and ensure its proper utilization. The Executive Director runs the day to day management of the organization through the organizational set up at the central, zonal, regional, area and branch level.

Annual General Meeting (AGM)
The 25th Annual General Meeting (AGM) of UDDIPAN was held on August 20, 2009 at UDDIPAN Dhaka Training Center. As per agenda, Minutes of 24th AGM, the Annual Report, Audit Report, the Annual Budget along with Work Plan and the selection of Auditor for the next year were discussed and approved in the AGM.

Audit and Monitoring Committee
An audit and monitoring committee is in place at the Head office level to look after the audit and monitoring aspects of the Organization. The committee comprises of four executive members and the concern Deputy Director. The ToR of the Committee is as follows:
• Review the financial status and effectiveness of the internal financial control system.
• Review the findings and report of the internal auditors and to recommend appropriate remedial actions thereon.
• Monitoring the implementation status of planned activities.
• Review implementation problems and recommend correctives actions thereon.

The committee meets four times in a year and reports to Board meetings on their activities.

Procurement Committee
The organization has two Procurement Committees comprises of EB members and UDDIPAN Official and responsible for ensuring purchase in a very neat and competitive way.

Recruitment Committee
A Recruitment Committee comprises of four EB members are in place with UDDIPAN and responsible for appointing staff on the basis of merit and competency.
